End User License Agreement

Effective date: January 6, 2026

This End User License Agreement (“EULA”) is a legally binding agreement between you (“you” or “User”) and Xen LLC (“Company,” “we,” or “us”) governing your download, installation, access, and use of the LaserSell software and related components.

IMPORTANT: LaserSell is proprietary software and may facilitate interactions with public blockchains and third-party protocols. Transactions can be irreversible. You can lose some or all funds in your wallet. LaserSell may miss events, fail to execute, crash, disconnect, or otherwise malfunction. We are not responsible for trading losses, missed profit windows, or failed trades.

By downloading, installing, accessing, or using LaserSell (or by clicking “I Agree,” “Accept,” or similar), you agree to this EULA. If you do not agree, do not install or use LaserSell.

1. Definitions

1.1 “LaserSell” means our proprietary software and related components, which may include: (a) a desktop and/or command-line application; (b) license validation and other APIs; (c) a telemetry dashboard and related services; and (d) a browser extension (collectively, the “LaserSell Software”).

1.2 “License Key” means the license credential issued and/or managed through Whop (or another platform we designate) that enables access to LaserSell.

1.3 “Wallet” means a blockchain wallet address (public key) you control that is used to sign messages and transactions. References to “wallet” include any signing device(s) or wallet software you use.

1.4 “Third-Party Services” means any third-party platforms, networks, protocols, providers, or services that LaserSell may integrate with or rely on (for example: Whop; Solana or other public blockchains; RPC and infrastructure providers; third-party protocols and interfaces; market/price data providers).

2. Relationship to Other Terms

2.1 Terms of Service and Privacy Policy. Your use of LaserSell may also be governed by our Terms of Service and Privacy Policy, which are incorporated by reference: Terms of Service and Privacy Policy.

2.2 Order of precedence. This EULA governs the license to use the LaserSell Software. The Terms of Service govern subscriptions, fees, Success Fees (if any), refunds, and other service-related terms. If there is a conflict, this EULA controls solely with respect to the software license, and the Terms of Service control for payment and service operations. Disclaimers and limitations of liability apply cumulatively.

3. License Grant

3.1 Limited license. Subject to your continued compliance with this EULA and any applicable Terms of Service, and subject to an active paid subscription (or trial, if offered), we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the LaserSell Software in object-code form only, solely for your personal or internal use.

3.2 Multiple devices; multiple instances; shared wallet use. You may install and use LaserSell on multiple devices and may run multiple instances, provided they are all using the same Wallet associated with your License Key. Multiple team members may use LaserSell under a single license only if they share the same Wallet. You are responsible for all activity conducted through the licensed Wallet and any devices running LaserSell. Running multiple instances is permitted but not recommended. We may impose reasonable technical limits or change these terms in the future if multi-instance usage causes abuse, security risk, or service disruption.

3.3 No sale. LaserSell is licensed, not sold. We and our licensors retain all right, title, and interest in and to LaserSell, including all intellectual property rights.

4. License Key, Wallet Binding, and Verification

4.1 One Wallet per license at a time. Each License Key is intended for use with one Wallet address at a time. LaserSell may require you to sign a verification message to validate your license and may associate your License Key with your Wallet address. If you attempt to use a License Key with a different Wallet address, access may be blocked or disabled.

4.2 Rebinding and resets. If we offer a wallet-change or reset process (through Whop or otherwise), you may be required to complete that process before using LaserSell with a different Wallet. We may limit or deny rebinding requests to prevent abuse, fraud, or service disruption.

4.3 Anti-circumvention. You may not bypass, disable, defeat, or circumvent any licensing, authentication, security, or technical protection mechanism.

5. Subscription Requirement; Fees

5.1 Subscription required. Access to LaserSell generally requires an active subscription purchased and managed through Whop (or another platform we designate). If your subscription ends, we may disable your access to LaserSell and related services.

5.2 Fees and Success Fee. Subscription fees, any Success Fee (if applicable), and related payment terms are governed by our Terms of Service and any checkout terms presented through Whop. This EULA does not modify those terms.

6. Non-Custodial Software; Wallet Security

6.1 No custody. LaserSell is intended to be non-custodial. You control your Wallet(s) and funds at all times. We do not take custody of your funds.

6.2 No private keys. We do not ask for or collect your seed phrase or private keys. Transaction signing happens locally on your device. Our servers may receive your Wallet public key and signed messages needed for license validation and service operation.

6.3 You are responsible. You are solely responsible for your security practices, including protecting your devices, private keys, seed phrase, and access credentials. If you lose access to your Wallet, you may lose your funds and we cannot recover them.

7. Telemetry and Data

7.1 Telemetry features. LaserSell may include optional cloud telemetry and a dashboard to display performance, trade history, and operational metrics. If telemetry is enabled, LaserSell may transmit usage, performance, and trading-related telemetry to our servers to provide the LaserSell Services.

7.2 Privacy Policy controls. Our collection and use of personal data is described in our Privacy Policy. We do not use LaserSell telemetry or trade data for targeted advertising.

7.3 Disabling telemetry. If LaserSell offers a setting to disable telemetry, you may disable it; however, some features (such as the dashboard) may not function if telemetry is disabled.

8. Updates, Changes, and Deprecation

8.1 Updates. We may provide updates, patches, bug fixes, or new versions of LaserSell and related services (including license validation, APIs, dashboards, and extensions) at any time. Some updates may be automatic (for example, browser extension updates delivered through the Chrome Web Store), and some updates may require you to download and install a new version. We may notify you through the Software, dashboard, website, email, or community channels when an update is suggested or required, but we are not obligated to provide notice. You are responsible for maintaining a supported version. We may require updates as a condition of continued use (including security, compatibility, and operational updates).

8.2 Deprecation. We may stop supporting older versions of LaserSell, and older versions may stop working without notice. We may change or remove APIs, dashboards, or extension functionality.

8.3 No liability for updates. We are not responsible for any impact on your trading activity, configurations, workflows, or outcomes caused by updates, changes, or deprecations.

8.4 Beta and experimental features. From time to time, we may make features available that are labeled or described as “beta,” “experimental,” “preview,” “early access,” or similar (collectively, “Beta Features”). Beta Features may be unstable, incomplete, or change materially, may be removed at any time, and may cause errors, telemetry gaps, degraded performance, delayed or failed transactions, or other issues. You use Beta Features at your own risk. We have no obligation to provide support for Beta Features, and the disclaimers and limitations in this EULA apply to Beta Features.

9. Support; No Service Levels

9.1 Support is discretionary. We may provide support, troubleshooting, or guidance at our discretion. We do not guarantee support availability, response times, or resolution times, even if we often respond quickly in practice.

9.2 No SLA; outages and degraded performance. We do not provide any service level agreement (SLA) or uptime guarantee. LaserSell and related services (including license validation, APIs, telemetry, dashboard, and extension) may experience outages, degraded performance, delays, telemetry gaps, data loss, or failures for reasons including maintenance, updates, third-party outages, blockchain congestion, RPC provider issues, protocol changes, or other factors. We are not responsible for any losses or damages arising from outages, degraded performance, telemetry gaps, support delays, or lack of response.

10. Restrictions

You agree that you will not, and will not assist others to:

  • reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of LaserSell (except to the limited extent prohibited by applicable law);
  • copy, modify, adapt, translate, or create derivative works of LaserSell;
  • sell, rent, lease, sublicense, distribute, publish, transfer, or make LaserSell or any License Key available to any third party, except as expressly permitted for shared Wallet use under Section 3.2;
  • use LaserSell to operate a service bureau, managed service, or “bot-as-a-service” offering for third parties;
  • remove or obscure any proprietary notices or labels in LaserSell;
  • use LaserSell in violation of law, regulation, sanctions, export controls, or third-party terms; or
  • interfere with, overload, disrupt, or attempt to gain unauthorized access to LaserSell, our servers, or any related systems.

11. Third-Party Services; Blockchain Networks

11.1 Third-Party Services are not controlled by us. LaserSell may integrate with or rely on Third-Party Services. We do not control Third-Party Services and are not responsible for their availability, security, pricing, outages, terms, or actions.

11.2 Network fees and third-party fees. Your use of LaserSell may require you to pay blockchain network fees, priority fees, protocol fees, and third-party tips from your Wallet. These fees are separate from LaserSell subscription fees and are not refundable by us. LaserSell may include a sender tip to facilitate transaction submission; the sender tip amount typically ranges from 0.0002 SOL to 0.003 SOL per transaction, but may vary and may change over time.

12. Risk Disclosures; No Guarantee of Execution or Outcomes

12.1 No guarantee. LaserSell is provided as a tool only. We do not guarantee detection, execution, speed, pricing, or profitability.

12.2 Failures and missed opportunities. LaserSell may miss events, miss execution windows, fail to detect a buy or sell opportunity, generate an invalid or stale transaction, crash, disconnect, or otherwise malfunction due to software defects, device issues, network congestion, RPC outages, protocol changes, MEV, third-party actions, or other factors. You are responsible for monitoring your positions and deciding whether to proceed with any transaction.

12.3 No liability for trading losses. You acknowledge and agree that you are solely responsible for any trading losses, opportunity costs, missed profits, failed transactions, or other losses arising from your use of LaserSell or any Third-Party Services, even if those losses arise from a malfunction, outage, delay, or error.

12.4 No financial, legal, or tax advice. Nothing in LaserSell or related materials constitutes investment, financial, legal, or tax advice. You are solely responsible for your decisions and compliance obligations.

13. Ownership; Feedback

13.1 Ownership. LaserSell and all related intellectual property are owned by the Company or its licensors. No rights are granted except as expressly stated in this EULA.

13.2 Feedback. If you provide suggestions, feedback, or ideas about LaserSell, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation.

14. Open-Source and Third-Party Components

LaserSell may include or interact with third-party software, libraries, or components, including open-source software. Those components may be subject to separate license terms. To the extent required by applicable open-source licenses, those licenses will govern your use of the applicable components.

15. Suspension and Termination

15.1 Suspension/termination. We may suspend or terminate your access to LaserSell immediately (and/or terminate this EULA) if you breach this EULA, breach our Terms of Service or any incorporated policy, attempt to use one license across multiple Wallets at the same time, interfere with or disrupt our services, engage in fraud or abuse, or if required by law or a third-party platform/provider.

15.2 Effect of termination. Upon termination, the license granted to you ends and you must stop using LaserSell. We may remotely disable LaserSell or related services where technically feasible. Sections that by their nature should survive termination will survive, including Sections 10–14 and 16–21.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, LASERSELL IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LASERSELL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

17. Limitation of Liability

17.1 Exclusion of damages. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, trading losses, lost data, business interruption, missed opportunities, missed profit windows, failure to buy or sell, failed or delayed transactions, MEV-related outcomes, protocol failures, or blockchain/network outages, even if we have been advised of the possibility of such damages.

17.2 Liability cap. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to LaserSell, the Services, or this EULA will not exceed the total amount you paid to the Company for the LaserSell subscription in the thirty (30) days immediately preceding the event giving rise to the claim.

17.3 Basis of bargain. You acknowledge that these limitations are a fundamental part of the bargain between you and the Company and apply even if any remedy fails of its essential purpose.

18. Indemnification

You agree to indemnify and hold harmless the Company and its owners, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of LaserSell; (b) your violation of this EULA or any applicable law; or (c) your violation of any third-party rights or terms.

19. Sanctions, Export Controls, and Lawful Use

You represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions; (b) you are not a person or entity on any sanctions or restricted party list (including lists maintained by the U.S. government); and (c) you will not use LaserSell in violation of applicable laws, including sanctions and export controls, or for unlawful activity such as fraud or market manipulation.

20. Governing Law; Dispute Resolution

20.1 Governing law. This EULA is governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.

20.2 Disputes. Dispute resolution (including arbitration) is as described in our Terms of Service, which is incorporated by reference.

21. Miscellaneous

21.1 Assignment. You may not assign or transfer this EULA without our prior written consent. We may assign this EULA in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

21.2 Severability. If any provision of this EULA is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

21.3 Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

21.4 Entire agreement. This EULA, together with the Terms of Service and Privacy Policy incorporated by reference and any offer-specific terms presented at checkout, constitutes the entire agreement between you and us regarding LaserSell and supersedes prior or contemporaneous understandings on the subject.

21.5 Notices; electronic communications. We may provide notices to you electronically (for example, via the LaserSell Services, via Whop, or via email). You consent to receive communications electronically.

21.6 Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including network outages, third-party service outages, acts of government, or force majeure events.
